Board Matters

The Board of Directors (the “Board”) of Ayala Corporation (the “Corporation” or “Ayala”) is the supreme authority in matters of governance and in managing the business of the Corporation. Within their authority under the Corporation Code and other applicable laws and the By-laws of the Corporation (the “By-laws”), the Directors, acting as a Board, have the fullest powers to regulate the concerns of the Corporation according to their best judgment.

The Board is responsible to promote and adhere to the principles and best practices of corporate governance, to foster the long-term success of the Corporation and to secure its sustained competitiveness in the global environment in a manner consistent with its fiduciary responsibility .

The Board shall exercise its powers and duties in the best interest of the Corporation, its shareholders and other stakeholders.
